Responsible for counselling the business operations in China by giving pro-active, professional, competent, (cost) effective and creative legal support. You will need to bring negotiation and drafting skills and business sense to deal with multiple functional teams in a rapidly scaling business. You will be expected to be able to advise on PRC law issues in-house, with only more specialised or customary work being referred to external legal advisors. Additionally, the candidate may be required to support M&A deals domestically and overseas from time to time.

You will collaborate with local business leaders (Business Development, Commercial, Procurement, O&M and E&C) as well as with supporting areas (Finance, Tax and Admin) advising on legal risks, business strategies and other issues related to the Company’s businesses together with one legal counsel based in Shanghai.

When necessary or required, you need to highlight/escalate key legal risks in English to the APAC Management team based in Singapore, as well as to other members of the legal team based in Singapore and/or Madrid. You will be part of the APAC Legal team.

You will be required to have worked on and be familiar with regulations relating to and issues commonly arising from the China renewables industry – in particular solar and onshore wind – including renewable energy certificates, land use rights, land permitting and licensing, as well as handling EPC and construction-related issues.

You will be expected to have a general understanding of common issues relating to the formation, acquisition, divestment and operation of project-related SPVs, and have experience in supporting M&A deals in China and if possible, overseas. Having actual M&A transactional experience will be viewed favourably.

You will also be required to perform the role of Legal Supervisor for EDPR APAC’s China entities.

Responsibilities
• Draft, review and advise on renewable energy/power generation project documents, including but not limited to EMC, EPC, project financing agreements, O&M agreements, PV component purchase agreements, various service procurement agreements, MoU, frameworks and other agreements typically used domestically or internationally in the renewable energy industry.
• Draft and negotiate other contracts related to renewable energy/power generation projects such as non- disclosure agreements, sales and purchase agreements, acquisition-related documents and others.
• Review LDD reports and SPAs issued by external law firms, provide internal assessments and legal support on risk mitigation and SPV issues.
• Advise on general corporate issues and manage legal issues affecting the company, including but not limited to corporate matters, procurement, financing, agent hiring, compliance, labour and company governance.
• Handle dispute resolution matters. Provide inhouse analysis regarding electricity collection/EPC dispute/EMC dispute cases, draft company letters, participate in negotiations with counterparties before an external lawyer is involved.
• Liaise with law firms to complete internal bidding processes, follow up on cases and be the key liaison person between company and external law firms to prepare necessary documents and collect evidence.
• Provide support for M&A opportunities, by working closely with in-house M&A Counsel and external counsel.
• Represent the department as required in liaison with the Country Manager / Business Development Units and other relevant support units such as Finance, Corporate Finance, Accounts, FP&A, Asset Management Office, Engineering and Procurement office, Operations and Maintenance Unit, etc.
• Anticipate and manage any legal risks connected with or resulting from business strategy and operations.
• Secure compliance of business operations with relevant laws and regulations.
• Pro-actively create and maintain awareness of business employees for compliance with relevant laws and regulations.
• Manage external law firms.
• Deliver high-quality work under deadlines.
• Any other assignment as and when required by the APAC General Counsel or Legal Head Office.

Requirements
• Bachelor’s degree in Law from a reputable PRC University is required. Having additional qualifications such as a JD or LLM degree from a common-law University will be considered favourably.
• PRC bar qualification is needed. Having other bar qualifications will be a plus.
• 7 to 10 years post-qualification experience is needed, demonstrating experience in the Renewables energy industry
• Experience in transactional M&A would be a plus.
• Strong contract drafting and negotiation skills.
• Flexibility to work in an international and fast-paced environment and meet tight deadlines.
• Able to communicate, negotiate and draft legal agreements.
• Fluent in written and spoken Mandarin and English.
